Sherwood (Woodie) Neiss is a principal of Crowdfund Capital Advisors, where he leads research on investment crowdfunding markets and advises governments, institutions and market participants on the design and performance of retail capital formation regimes. He is one of the co-authors of the regulatory framework Congress enacted as Title III of the JOBS Act, the statute that created the Regulation Crowdfunding exemption under Section 4(a)(6) of the Securities Act.

Since Regulation Crowdfunding took effect in 2016 he has built and maintained CCLEAR, a dataset that tracks every funded Reg CF offering and links issuers to their subsequent filings with the Securities and Exchange Commission. That work is cited each year by the SEC’s Office of the Advocate for Small Business Capital Formation in its annual report to Congress.

He co-authored Crowdfund Investing for Dummies and wrote the Investomers series. He is not an attorney, and nothing in his writing constitutes legal advice.
