Asset Purchase Agreement

An asset purchase agreement, or “APA,” is a contract between a buyer and a seller that memorializes, evidences, and governs the transfer of property from its owner (the seller) to the buyer. The property that is bought and sold pursuant to an APA may be real estate, specified personal property, or all of the assets of a company. Compare to Stock Purchase Agreement.
