Rob is a senior associate in Levenfeld Pearlstein’s Corporate & Securities Group where he focuses on mergers and acquisitions, securities transactions, startup companies, technology agreements, and general corporate matters:
M&A: Rob works with privately held businesses and investment funds across a broad range of industries in the middle market in negotiating and consummating acquisition and disposition transactions, including mergers, asset and stock transactions, and ESOP transactions.
Securities & Investment Funds: Rob’s securities experience includes representing private companies, financial sponsors, investment funds, institutional investors, and high net worth individuals with respect to a variety of matters, including fund formation, capital-raising, acquisitions and dispositions, private offerings, due-diligence investigations, and regulatory compliance.
Startups & Venture Capital: Rob also helps entrepreneurs and startup companies at every stage of life: from inception, to angel/venture capital-raising, through operational growth and, ultimately, to liquidity and other realization events.
Technology Agreements: With respect to technology agreements, Rob has significant experience with negotiating and drafting various technology-related agreements, including outsourcing, consulting, licensing and other agreements relating to various IT services.
General Corporate: Additionally, Rob represents clients across a range of transactional and commercial matters, including negotiating, drafting and reviewing agreements relating to entity formation, operation and governance, capital-raising activities, acquisitions and dispositions of assets, reorganizations, joint-ventures, consulting and vendor relationships, and terms and conditions of purchase and sale.
