Vanessa J. Schoenthaler
Vanessa J. Schoenthaler is a founding member of Qashu & Schoenthaler LLP and managing partner of the firm’s New York office. Her practice focuses on complex business transactions, securities law, corporate finance, regulatory compliance and general corporate matters. Ms. Schoenthaler advises individuals and foreign and domestic public and private entities with regard to a variety of undertakings, including fund formation and operation, private equity and venture capital transactions, private placements of equity, debt and hybrid securities, initial, secondary and alternative public offerings, exchange listings, corporate restructurings, mergers, acquisitions and dispositions, joint ventures and strategic alliances and matters of corporate governance and regulatory compliance.
Ms. Schoenthaler advises investment banks and broker-dealers with regard to registration, continuing membership, regulatory compliance matters and corporate financing transactions. She also advises issuers and investment banks with regard to the formation and operation of special purpose acquisition companies (SPACs).
Ms. Schoenthaler holds a B.A. in political psychology and American government and politics from Stony Brook University, and a J.D. from Pace University School of Law, where she served as editor-in-chief of the law review and worked as a student law clerk for the Honorable Nina Gershon of the United States District Court for the Eastern District of New York.
